合同的分类

Classification of Contracts

狭义的合同包括合同（contract）和协议（agreement）。

广义的合同包括合同、协议，以及订立正式合同、协议之前当事人之间已经达成的有约束力的法律文件，包括但不限于谅解备忘录（memorandum of understanding, MOU）、合作备忘录（memorandum of cooperation）或者框架性协议（framework agreement）、意向性协议（agreement of intent）或合作意向书（letter of agreement for cooperation）、意向书（letter of intent, LOI）、初步协议（preliminary agreement）、君子协议（gentlemen’s agreement）、订单（order）和章程（articles of association/incorporation）等。

国际商务合同的特征

Main Features of International Business Contracts

国际商务合同是我国和外国平等主体的自然人、法人、其他经济组织之间设立、变更、终止民事权利义务关系的协议。它依法成立，受国家法律保护和管辖，对签约各方均有法律约束力。合同一经签订，各方必须严格执行。对于一国而言，国际商务合同也常称为涉外合同。中国的涉外合同具有以下特点：

（1）合同的主体一方或双方不具有中国国籍，如中国某公司与外国某公司签订买卖合同，进口外国的货物。

（2）合同的客体位于中国境外或者超过中国国境，如中国某进出口公司与境外某公司签订买卖合同，其标的物从国外进口。

（3）合同的某种法律事实发生于中国境外，如中国某公司与外国某企业在国外签订合资经营合同。

涉外合同的当事人可以选择合同适用的法律，这是“意思自治原则”在涉外合同的法律适用上的体现。

我国国际商务合同的种类，根据当事人之间权利和义务关系的不同，主要可作如下分类：

（1）国际货物买卖合同，即售货确认书/售货合同（Sales Confirmation/Sales Contract）和购货确认书/购货合同（Purchase Confirmation/Contract for Purchase）。

（2）代理合同，主要有独家代理协议（Sole Agency Agreement）、独家经销协议（Sole Distributorship Agreement）、包销协议（Exclusive Sales Agreement）以及货运代理合同（Forwarding Agency Agreement）。

（3）形象代言协议（Endorsement Agreement）。

（4）融资租赁协议（Finance Lease Agreement）、经营租赁合同（Contract of Operating Lease）、租赁协议（Tenancy Agreement）和国际租赁合同（Contract for International Leasing）。

（5）合资经营企业合同（Joint Venture Contract）、合作经营企业合同（Cooperative Joint Venture Contract）和合作协议（Co-operation Agreement）。

（6）劳务合同（Labor Service Contract）。

（7）国际技术咨询服务合同（International Technical Consultancy Service Contract）、技术转让和设备材料进口合同（Contract for Technology Transfer and Importation of Equipment and Materials）、技术转让和技术援助合同（Technology Transfer and Technical Assistance Agreement）以及咨询协议（Consulting Agreement）。

（8）国际借贷协议（International Loan Agreement）。

（9）土木建筑工程承包合同（Contract for International Works or Civil Engineering Construction）。

（10）外包协议（Outsourcing Agreement）。

（11）服务协议（Service Agreement）。

（12）协作协议/合作协议（Collaboration Agreement）、三方合作协议（Tripartite Cooperation Agreement）。

（13）商标特许（许可）协议（Trademark License Agreement）。

（14）风险资本管理协议（Venture Capital Management Agreement）。

（15）股权转让协议（Share Transfer Agreement）。

（16）第三方支付协议/第三方监管账户协议（Escrow Agreement）。

（17）保密协议（Nondisclosure Agreement/Secrecy Agreement/Agreement of Confidentiality）。
